A Section 8 Company is a nonprofit organization registered under the Companies Act, 2013, aimed at promoting charitable objectives like education, social welfare, science, and arts. It doesn’t distribute profits to members; instead, earnings are used to further their cause. The registration process includes obtaining Digital Signature Certificates (DSC) and Director Identification Numbers (DIN), reserving the company name via the RUN service, and drafting the Memorandum and Articles of Association (MOA and AOA). The SPICe+ form must be submitted with necessary documents, followed by applying for a special license from the Registrar of Companies (RoC). Once approved, a Certificate of Incorporation and the Section 8 license are issued. After incorporation, the company must apply for PAN, TAN, and register under Sections 12A and 80G of the Income Tax Act for tax exemptions. It must also comply with annual filings and governance norms.
